　　一、設(shè)備細(xì)目及合同期內(nèi)的維修服務(wù)費用

　　二、合同期限（以先到為準(zhǔn)）
　　自年_________月_________日始，至_________年_________月_________日止；
　　三、付款方式
　?。?span lang="EN-US">1）服務(wù)費用按年度支付，先付費，后服務(wù)。
　　（2）合同期內(nèi)發(fā)生的其它費用在乙方提供服務(wù)完畢后5個工作日內(nèi)，由甲方向乙方一次性支付。
　　四、服務(wù)內(nèi)容
　　（1）乙方應(yīng)甲方要求對甲方的設(shè)備進(jìn)行維護(hù)保養(yǎng)；每壹個月壹次。
　?。?span lang="EN-US">2）合同期內(nèi)，乙方接到甲方的維修呼叫后及時上門修復(fù)合同設(shè)備在正常使用情況下所發(fā)生的一般故障。
　　（3）乙方以對合同用戶的優(yōu)惠價格向甲方提供合同設(shè)備所需使用的耗材及零配件，并免費送貨。
　　五、除外責(zé)任
　　下列情況乙方向甲方提供滿意的服務(wù)，需照章收費：
　　（1）甲方違反操作規(guī)范所造成的機器及附件的故障；
　?。?span lang="EN-US">2）甲方在運輸、保管本機及附件時方法不當(dāng)造成的震動損傷、受潮、受熱引起的故障；
　　（3）由于火災(zāi)、水災(zāi)，地震、電網(wǎng)電壓不穩(wěn)定及其它自然災(zāi)害等非人為原因造成的設(shè)備損壞；
　　（4）甲方自行拆卸機體及部件造成的設(shè)備損壞；
　　（5）因非乙方提供的消耗材料、零部件等而造成的設(shè)備損壞；
　?。?span lang="EN-US">6）甲方未能出示本服務(wù)合同的有效原件。
　　六、違約處理
　　（1）因乙方不能及時履行合同所規(guī)定的服務(wù)條款，并對甲方工作造成嚴(yán)重延誤時，甲方有權(quán)終止合同。
　?。?span lang="EN-US">2）因乙方工作失誤導(dǎo)致甲方設(shè)備損壞，乙方應(yīng)賠償甲方相應(yīng)零件并負(fù)責(zé)修復(fù)工作。
　　（3）甲方未能按本合同條款3的規(guī)定及時付款時，乙方可解除合同并保留追繳甲方欠款的權(quán)利。
　　（4）甲方允許非乙方技術(shù)人員維修、維護(hù)、拆卸設(shè)備及附件或造成設(shè)備損壞，本合同自行作廢。
　　七、說明
　?。?span lang="EN-US">1）本合同中所述的“工作小時”是指法定工作日的9：00-17：00時段內(nèi)的每一小時。
　?。?span lang="EN-US">2）甲方的名稱、地址、電話、指定設(shè)備負(fù)責(zé)人等資料如有變更，請及時通知乙方否則將會造成甲方利益的損失。
　?。?span lang="EN-US">3）如甲方所在地非_________市區(qū)且乙方上門服務(wù)時發(fā)生差旅費、高速費、過橋費等費用時，上述費用由甲方支付。
　?。?span lang="EN-US">4）如甲方將設(shè)備轉(zhuǎn)與他人，本服務(wù)合同中乙方對該設(shè)備的服務(wù)承諾既告無效。
　　（5）如有未盡事宜，甲乙雙方應(yīng)在合同簽字前進(jìn)行協(xié)商，達(dá)成一致后一式兩份填寫在附加條款中，填寫內(nèi)容與本合同具有同等效力。
　?。?span lang="EN-US">6）本維修合同服務(wù)費用只涵蓋本合同第4款'服務(wù)內(nèi)容'所涉及的勞務(wù)，并不包括維修過程中發(fā)生的零配件及消耗品費用。
　　八、附加條款
　　雙方已就本合同的上述條款完全達(dá)成共識，任何一方的口頭要求均不能影響本合同條款的效力。

　　3．Payment Terms
　?。?span lang="EN-US">1）Serving the expenses to pay year， pay first， and then the service
　　（2）Other expenses occurred in the period of this contract should be totally paid by Party A to Party B in 5 effective working days。
　　4．Service Content
　?。?span lang="EN-US">1）Part B should give the machines regular inspects once per one month.
　?。?span lang="EN-US">2）During the contract period， Party B should timely repair the normal stoppage on-the-site after receiving the service-call from Party A；
　?。?span lang="EN-US">3）Party B would supply consumables to Party A with preferential price and provide door-to-door service free of charge.
　　5．Exclusions
Party B would also supply Party A with satisfied service under the following circumstance， but payment should be charged correspondingly：
　?。?span lang="EN-US">1）Disobey the direction of operation manual by the users；
　?。?span lang="EN-US">2）Damages in transportation and preservation by customer himself；
　?。?span lang="EN-US">3）Damages caused by fire， water flood， earthquakes， unsteady of power and other natural disasters；
　?。?span lang="EN-US">4）Party A disassembles the machine and spare parts by himself；
　?。?span lang="EN-US">5）Breakdown caused by fake consumable and spare parts provided by other companies；
　?。?span lang="EN-US">6）Party A failed to provide effective original of this contract.
　　6．Breach
　?。?span lang="EN-US">1）Party A has the right to terminate the contract and claim the Service Fee back in the condition Party B fails to execute this contract and influence the normal work of Party A；
　?。?span lang="EN-US">2）Party B should compensate and repair the equipment due to the damage caused by himself；
　?。?span lang="EN-US">3）Party B has the right to terminate the contract and claim the payment owed by Party A if Party A does not fully execute the Clause 3 of this contract；
　?。?span lang="EN-US">4）This contract would be automatically terminated in the condition the damages caused of repair， maintenance， dissemble etc. by the third party permitted by Party A.
　　7．Note
　　（1）'Working Hours' mentioned above means any hour during 9：00am-17：00pm in every legal working day；
　?。?span lang="EN-US">2）Any information alternation of Party A， such as name， address， telephone， contact， etc. should inform Party B in time， otherwise the benefit of Party A would be damaged；
　?。?span lang="EN-US">3）Party A should afford all expenses occurred on the way when Party B provides service outside Shanghai downtown；
　?。?span lang="EN-US">4）The warranty made by Party B in this contract would become ineffective if Party A transfer the equipment to any other third party；
　?。?span lang="EN-US">5）Other issues which should be negotiated before signature added as appendix in Clause 9， the appendix has the same effectiveness to the other conditions of this contract；
　?。?span lang="EN-US">6）The Service Fee mentioned above only includes the serviced in Clause 4， not include the cost of spare parts and consumables.
　　8．Appendix
Both parties concerned have negotiated all conditions above， and any other oral requirement can not influence the effectiveness of this contract.
